22:T501,

UTTAL may provide COD only to eligible Buyers and eligible delivery locations.

The first COD Order will not, by itself, be treated as a COD abuse event for purposes of the progressive COD restriction described below.

After that:

If a subsequent COD Order is returned/refused due to Buyer-side conduct after dispatch or delivery attempt, UTTAL may record the event against the account.
Where a Buyer has a further qualifying COD return/refusal after the first qualifying event, UTTAL may apply a logistics recovery charge equivalent to four times the applicable logistics charge to a subsequent eligible Order, subject to applicable law.
After a second qualifying COD return/refusal, UTTAL may permanently or temporarily disable COD for that Buyer.
Once COD is disabled, only prepaid payment methods may be made available to that account.
UTTAL may impose stricter restrictions earlier where there is evidence of deliberate fraud, repeated refusal, false information or systematic abuse.

COD restrictions may also be applied to linked or replacement accounts where UTTAL reasonably determines that an account has been created to bypass an existing restriction.

\n These Terms & Conditions (“Terms”) govern access to and use of Uttal.in and all purchases, sales, marketplace transactions, bulk/B2B transactions, services and interactions conducted through the Platform.\n

\n By accessing the Platform, creating an account, listing Products, placing an Order, making a payment, accepting delivery or otherwise using UTTAL services, you agree to these Terms and all policies incorporated into them.\n

\n If you do not agree with these Terms, you must not use the Platform.\n

\n Users must provide accurate information and must have legal capacity to enter into transactions under applicable law.\n

\n Business and B2B users must provide accurate business information, GST details, billing information and other documents when requested.\n

\n UTTAL may facilitate transactions between independent Sellers and Buyers.\n

Unless expressly stated otherwise:

the Seller is responsible for the accuracy, legality, quality and conformity of its Product;
the Seller is responsible for lawful invoicing and required Product documentation;
UTTAL may facilitate payment, communication, logistics, returns and customer support;
UTTAL may investigate complaints and take action against Sellers or Buyers;
UTTAL may suspend, restrict or terminate accounts where necessary to protect the Platform or its users.

\n UTTAL does not permit Sellers to use the Platform to conduct unlawful, deceptive or fraudulent commerce.\n

\n UTTAL may itself sell Products directly to Customers.\n

\n For direct-sale Orders, UTTAL may act as the seller and will be responsible for the applicable seller-side obligations relating to that transaction.\n

\n The applicable product, order, return, refund and shipping conditions will be communicated through the Platform and the applicable policies.\n

\n UTTAL may facilitate retail marketplace transactions as well as bulk and B2B transactions.\n

\n B2B and bulk transactions may involve negotiated prices, minimum quantities, business invoices, advance or prepaid payments, agreed delivery schedules, negotiated shipping arrangements, inspection or acceptance conditions, and negotiated return/replacement conditions.\n

\n Where specific written commercial terms are agreed for a B2B transaction, those terms will apply to that transaction to the extent permitted by applicable law.\n

\n UTTAL currently operates and accepts orders only within India.\n

\n International sales, international shipping, customs, duties, taxes, cross-border returns, refunds and related matters are not covered by these current operational policies.\n

\n If UTTAL begins international operations in the future, separate terms and policies may be introduced for international transactions.\n

\n Users are responsible for providing accurate information, maintaining account security, protecting passwords, OTPs and login credentials, not allowing unauthorized persons to misuse their account, and notifying UTTAL of suspected unauthorized access.\n

\n Users must not create multiple accounts for the purpose of bypassing restrictions, penalties, payment controls, return controls or account suspension.\n

\n Sellers may be required to complete identity, address, business, tax, bank and other verification procedures.\n

\n UTTAL may request PAN, GST details, business registration details, bank account information, identity/address documents, Product certificates, brand authorization, invoices or purchase documents, and licenses or approvals required for specific Products.\n

\n False, forged, altered or misleading documents may result in immediate suspension or termination and may be reported to appropriate authorities where legally required or appropriate.\n

\n Every Seller must supply Products exactly as listed, maintain adequate inventory, provide accurate Product descriptions, disclose material Product characteristics, pack Products appropriately, dispatch Orders within applicable timelines, provide genuine invoices where applicable, comply with applicable laws, maintain required licenses and approvals, avoid counterfeit or unauthorized Products, cooperate with UTTAL investigations, honour approved returns, replacements and refunds, and maintain accurate records.\n

\n A Seller must not intentionally substitute, downgrade, adulterate, misrepresent or otherwise alter an ordered Product.\n

\n Product listings must be accurate and must not contain false claims, misleading photographs, fake reviews or testimonials, manipulated specifications, false certifications, forged documents, misleading brand names, unauthorized trademarks, deceptive pricing, or unlawful claims.\n

\n UTTAL may remove or modify listings that violate these Terms or applicable law.\n

\n Sellers must not list or sell Products that are unlawful, counterfeit, stolen, prohibited, unsafe or otherwise restricted under applicable law.\n

This includes, where applicable:

counterfeit goods;
stolen goods;
fake or forged certificates;
products supported by fabricated documents;
illegal or restricted goods;
unlawfully copied products;
Products violating intellectual property rights;
Products requiring mandatory approvals where such approvals are absent;
Products that create an unreasonable safety risk.

\n UTTAL may remove such listings without prior notice where necessary.\n

\n Products, listings, descriptions, images or user content must not unlawfully promote hatred, violence, discrimination or hostility against any religion, community, caste, group or protected class.\n

\n UTTAL may remove content that violates applicable law or Platform standards.\n

\n As part of UTTAL's current commercial policy, halal-certified or halal-labelled Products will not be accepted for listing or sale on the Platform, subject to applicable law.\n

\n Counterfeit, replica, forged, deceptively branded or unauthorized Products are prohibited.\n

\n A Seller found to have intentionally supplied counterfeit or materially misrepresented Products may face listing removal, Order cancellation, replacement/refund obligations, withholding of settlements, recovery of applicable losses and costs, suspension, permanent termination, and reporting to the relevant authorities where appropriate.\n

\n Serious or repeated violations may result in immediate termination.\n

\n Buyers must provide accurate delivery information, place genuine Orders, accept genuine deliveries, use Products lawfully, follow applicable return procedures, provide truthful return reasons, provide accurate evidence when reporting Product problems, and avoid abusing COD, returns, refunds or chargebacks.\n

\n Buyers must not intentionally damage Products, replace Products, remove identifying marks, return different Products, return empty packages or otherwise manipulate the return process.\n

\n An Order is a request to purchase a Product and may be subject to availability, verification, payment authorization, Seller acceptance, fraud checks, address validation, stock confirmation and other reasonable checks.\n

\n UTTAL may cancel or restrict an Order where there is a reasonable basis to suspect fraud, misuse, pricing error, unlawful activity, stock unavailability or other material issue.\n

\n Product prices and applicable charges will be displayed as required by the Platform.\n

\n Taxes may apply according to applicable law.\n

\n Sellers are responsible for providing legally required invoices and tax information for their transactions.\n

\n UTTAL may correct obvious pricing, tax or technical errors.\n

\n Payments may be processed through third-party payment service providers.\n

\n Users must not use stolen payment instruments, unauthorized accounts, fraudulent payment methods, manipulated payment confirmations, or unauthorized chargeback methods.\n

\n UTTAL may place transactions on hold or conduct verification where a payment appears suspicious.\n

\n Shipping and delivery are governed by the UTTAL Shipping Policy, as applicable.\n

\n Delivery timelines are estimates and may be affected by courier delays, weather, natural disasters, strikes, public restrictions, remote locations, incorrect addresses, unavailable recipients, or events beyond reasonable control.\n

\n Cancellation may be permitted depending on Order status and the applicable cancellation conditions.\n

\n Once an Order has entered processing, dispatch or delivery stages, cancellation may no longer be available.\n

\n Fraudulent or repeated cancellation behaviour may result in account restrictions.\n

\n Further details may be provided in the applicable order and Returns & Refunds procedures.\n

\n Returns, replacements and refunds are governed by the UTTAL Returns & Refunds Policy.\n

\n UTTAL may require photographs, videos, packaging evidence, unboxing evidence, serial numbers, shipping labels, product condition evidence, or other reasonable information.\n

\n Return approval is not automatic merely because a Buyer requests a return.\n

\n UTTAL maintains strict controls against return fraud.\n

The following may constitute return abuse:

returning a different Product;
returning an empty package;
removing or replacing serial numbers;
deliberately damaging a Product;
using a Product and falsely reporting it as defective;
falsely claiming non-delivery;
repeatedly making unsupported damage claims;
manipulating photographs or videos;
returning counterfeit Products;
returning an item purchased elsewhere;
colluding with delivery personnel or Sellers;
abusing refund mechanisms.

\n Where evidence supports suspected abuse, UTTAL may reject the return/refund, hold or investigate the refund, restrict future returns, restrict COD, suspend the account, recover reasonable losses or logistics costs, terminate the account, or take legal action where appropriate.\n

\n UTTAL, the Seller or an authorized logistics/inspection partner may inspect returned Products.\n

\n Evidence may include package condition, weight, photographs, video evidence, serial numbers, tamper indicators, Product condition, warehouse inspection, delivery records, and pickup records.\n

\n Where a material mismatch is established, UTTAL may reject the return or take appropriate action under these Terms.\n

\n A Seller must not knowingly dispatch wrong Products, materially defective Products, used Products sold as new, damaged Products, incomplete Products, counterfeit Products, or materially different Products from the listing.\n

\n Where a Seller is responsible for a verified wrong, defective or damaged Product, UTTAL may require the Seller to provide replacement or refund, bear applicable return/reverse-logistics costs, bear reasonable additional logistics costs caused by the error, bear reasonable transaction-related losses attributable to the Seller, reimburse UTTAL for amounts that UTTAL is required to refund to the Buyer because of the Seller's breach subject to applicable law, and provide corrective documentation where required.\n

\n For repeated or serious violations, UTTAL may place settlements on hold, restrict listings, reduce selling privileges, require additional verification, suspend the Seller, or terminate the Seller account.\n

\n UTTAL may maintain internal Seller performance records based on objectively verifiable factors such as wrong Product rate, defective Product rate, damage rate, cancellation rate, return rate, complaint rate, delivery performance, fraud indicators, and policy violations.\n

\n Repeated poor performance may result in progressive enforcement, including warnings, corrective action, temporary restrictions, settlement holds, suspension and termination.\n

\n UTTAL may apply stricter action where misconduct appears intentional, fraudulent or materially harmful.\n

\n For B2B or bulk supply, Suppliers must supply Products matching the agreed specification, quantity, quality, brand, model, packaging, certification, documentation and delivery condition.\n

\n For verified wrong, materially defective or materially damaged bulk supply, the Supplier may be required to provide replacement, refund, credit adjustment or another commercially reasonable remedy as applicable to the transaction.\n

\n Where the Supplier's breach causes documented additional costs or losses, UTTAL may seek recovery of such amounts to the extent permitted by the applicable commercial agreement and law.\n

\n Repeated or serious quality failures may result in settlement holds, suspension of new Orders, removal from B2B sourcing, recovery of applicable costs, and termination of the commercial relationship.\n

\n Intentional misrepresentation, counterfeit supply or forged documentation may result in immediate termination and appropriate legal action.\n

\n Buyers may face restrictions for fraudulent returns, repeated false claims, COD abuse, payment fraud, chargeback abuse, Product switching, false non-delivery claims, account manipulation, multiple accounts used to bypass restrictions, harassment or threats toward Sellers, delivery personnel or UTTAL staff, or deliberate damage to Products.\n

\n Depending on severity, UTTAL may issue a warning, reject a claim, restrict returns, disable COD, suspend the account, recover applicable losses or terminate the account.\n

\n Reviews and ratings must represent genuine user experiences.\n

\n Users must not create fake reviews, purchase reviews, manipulate ratings, threaten Sellers for reviews, post fabricated allegations, use multiple accounts to manipulate ratings, or post unlawful, hateful or abusive content.\n

\n UTTAL may remove or restrict reviews that violate these Terms or applicable law.\n

\n Promotions, coupons and discounts may be subject to additional conditions.\n

\n UTTAL may cancel or restrict promotional benefits obtained through duplicate accounts, technical exploitation, fraudulent activity, coupon abuse, unauthorized sharing, or manipulation of Orders.\n

\n All UTTAL brand elements, logos, website content, software, design elements, text, graphics and other proprietary materials belong to or are licensed to the Company unless otherwise stated.\n

\n Users may not reproduce, copy, modify, distribute or commercially exploit such materials without authorization.\n

\n Sellers must have the lawful right to list and sell their Products and use related trademarks, images and content.\n

\n A Seller must not upload content that infringes another person's intellectual property rights.\n

\n UTTAL may remove disputed content and may restrict the relevant Seller pending investigation.\n

\n Where Users submit photographs, reviews, ratings or other content, they must have the right to submit that content.\n

\n Users must not submit content that is unlawful, fraudulent, defamatory, hateful, threatening, infringing or otherwise prohibited.\n

\n UTTAL may moderate, remove or restrict such content where appropriate.\n

\n Users and Sellers must not use UTTAL to deliberately bypass the Platform for transactions that originated through UTTAL where such conduct violates Platform rules or is intended to avoid applicable fees, protections, monitoring or contractual obligations.\n

\n UTTAL may restrict accounts involved in systematic off-platform diversion.\n
